Bongobanijya aims to provide high quality education to students of commerce and management streams for the West BBongobanijya aims to provide high quality education to students of commerce and management streams for the West Bengal State Higher Secondary Board and other relevant boards. Just to ensure safe usage of its platform, Team Bongobanijya has put forth various rules to ensure that our students’ have a good learning experience.

These Terms and Conditions (“T&C” or “terms” or “terms and conditions” or “T and C”) apply to a learner (or student)s’ or user(s) activities on the Bongobanijya website and mobile applications, and other related services. We request our learner (or student)s to read these Terms and Conditions prior to registering on www.Bongobanijya.com or prior to using the mobile applications, platform, website and services including – accessing any course material, blogs, articles, thought papers, research papers, reports, etc. (collectively termed as “the Bongobanijya site”), etc.

These Terms and Conditions are a binding agreement (“Agreement”) between you (“learner (or student)” or “user” or “user(s)”) and www.Bongobanijya.com (a brand of Ellipsis Knowledge and Learning Pvt. Ltd.). By using the Bongobanijya site, you accept and agree to be legally bound by the Agreement, whether or not you are a registered user. We even request our learner (or student)s to read the Privacy Policy for the Bongobanijya site before using any portion of the Bongobanijya site. Our Privacy Policy describes how a learner (or student)’s personal data is collected and processed when they use the Bongobanijya site. If a learner (or student) does not understand or does not wish to be bound by the terms of the Agreement or Privacy Policy, they should not use the Bongobanijya site.

Bongobanijya reserves the right to modify these T&C at any time without advance notice. Any changes to these T&C shall be effective immediately upon posting on this page, with an updated effective date. By accessing the Bongobanijya site after any changes have been made to the T&C or Privacy Policy, a learner (or student) signifies their agreement on a prospective basis to the modified T&C, privacy policy and all of the changes. The Bongobanijya Team requests learner (or student)s to return to this page periodically to ensure familiarity with the most current version of
these T&C and other policies.

Please note a learner (or student) is a user who has enrolled for a said course and has paid the required fees in full. Also note that a “learner (or student)” can be simply construed and meant as a “user” or “user(s)” as the case may be if the person is simply browsing the Bongobanijya site. Please note the term learner (or student) may also mean and include the term “user” or “user(s)” to be read as in the following terms and conditions as mentioned below.

1. LEARNER (OR STUDENT)’S ACCOUNT

A learner (or student) needs to have an account for most activities on the Bongobanijya site, these include even purchasing or enrolling for the courses being offered. We request our learners (or students) to keep their passwords safe from any misuse. Please note, a learner (or student) is responsible for any activity associated with their account including for any harm or damage (to Bongobanijya or its parent organization or anyone else) caused by someone using your account with/ without your permission.

To create a learner (or student) account, a user needs to register him/ her at the Bongobanijya site with the details as mentioned in the learner (or student) registration form. A learner (or student) agrees that all information provided is accurate and correct. A learner (or student) even agrees to keep the account information, current and updated. The Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) cares about a learner (or students’) confidentiality and security of personal information. Please see our Privacy Policy page for more information about the collection and usage of data on the Bongobanijya site.

If at any time a learner (or student) suspects of misuse of their account or suspect any other breach of security, please let us know immediately by contacting our Learner (or student) Support Team at studentcare@bongobanijya.com. We may request some information from you to confirm that you are indeed the owner of the account. We advise our learner (or students) to be careful with passwords and recommend changing them regularly. The Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) requests learner (or students) to provide and continue to provide accurate and complete information, including a valid email address.

A learner (or students’) account shall not be transferred to anyone else at any time. Neither can a learner (or student) ask for access to other accounts. Under no circumstances shall the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) provide any such details to any unauthorized user. In the event of demise of a learner (or student), the account of that learner (or student) will be closed.

If the learner (or student) shares his/ her account login credentials with anyone else, the respective learner (or student) is responsible for anything that happens to their account and Bongobanijya will not intervene in disputes between such learner (or student) or parties who have shared account login credentials. WE STRONGLY URGE THAT A LEARNER (OR STUDENT) KEEPS THEIR ACCOUNT WITH THEMSELVES ONLY AND DOESNOT SHARE ANY DETAILS WITH ANYONE. Incase of any breach the learner (or student) shall themselves be liable and under no circumstances shall the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) be liable for any losses, damages or others in case
of such negligence on the part of the learner (or student).

Learner (or student) must be at least 18 years of age or older to create an account on the Bongobanijya site. If a learner (or student) is younger than the required age they shall not create an account, but our team encourages the learner (or student) to invite his/ her parent or guardian to open an account and help the learner (or student) enroll for the course that may be appropriate to the learner (or student). If at any point in time our team discovers that a learner (or student) below the required age has created an account, we shall terminate the said account.

A learner (or student) can terminate their account permanently at any time by sending an email to the Student Support Team studentcare@bongobanijya.com. Check our Privacy Policy to see what happens when you terminate your account, but fees paid by the learner (or student) shall not be refunded in any case.

2. COURSE ENROLLMENT AND ACCESS

As a student, when you enroll in a course, whether it’s a free or paid course, you are receiving a learner (or student) access license from Ellipsis Knowledge and Learning Pvt. Ltd. on the Bongobanijya site.

Each course hosted on the Bongobanijya site is licensed and not sold to any learner (or student). This licensing also further prohibits any learner (or student) from reselling the courses [also including sharing account information with other purchasers (or learner (or student(s)) or illegally downloading (or recording) the course and sharing it on any other sites or with anyone] in any manner whatsoever. The Bongobanijya site grants a learner (or student) access to the courses in a limited, non-exclusive, non-transferable licensing policy and to only view (study and learn) the courses and content for which the learner (or student) has paid the full fees, solely for personal, noncommercial, educational and academic purposes only.

A learner (or student) is PROHIBITED to adapt, assign, broadcast, record, create duplicates, create derivatives, edit, lend, modify, rent, redistribute, reproduce, sublicense, sell, share, transfer, transmit any of the courses and its materials whatsoever.

Each course has a specific time duration attached to it and requires that the learner (or student) put in their maximum efforts. However the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) reserves the rights to revoke any licenses offered to any learner (or student) under their sole discretion or for any legal reasons.

A learner (or student) needs to create his learning account on the Bongobanijya site to access the various courses. Please provide 48 hours to 72 hours for the courses to reflect in your account if they are not accessible immediately on full payment of fees (including taxes if any). 3. PAYMENT

The prices listed on the Bongobanijya site are subject to change, without prior notice, as per the course curriculum and content as may be decided by Team Bongobanijya (Ellipsis Knowledge and Learning Pvt. Ltd.) at its sole discretion. The Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) might run any sales promotions or discount coupons for any particular course and the same shall be valid only for a particular period of time for a learner (or student) as per the policy framed by the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.).

The price applicable would be the one displayed at checkout (adding and including any taxes or other fees as applicable). Please note that the price for a particular course might differ when a learner (or student) is logged-in as compared to the learner (or student) who has not registered at the Bongobanijya site; this could be because of some of the promotions which may be applicable only to a new user.

By default a learner (or student) is able to see the pricing in Indian Rupees (INR). In case you wish to check the pricing of a course in the currency of your choice you could do so by logging in to your account and set the pricing to the required currency. In case of any assistance a learner (or student) is requested to kindly send in an email to studentcare@bongobanijya.com to resolve your issues.

Since the Bongobanijya site is maintained, managed, operated by an Indian company, all learner (or student) are applicable to the fees and taxes as per the Indian law. We shall remit the taxes collected to the proper authorities.

Each learner (or student) agrees to pay the fees in full for the courses they intend to purchase. A learner (or student) even authorizes Ellipsis Knowledge and Learning Pvt. Ltd. and Team Bongobanijya to charge the learner (or students’) debit card or credit card or to process any other means of payment (NEFT, RTGS, bank wire transfer, cheques, drafts, others, etc.) towards the fees of the respective courses, if applicable and necessary.

Please note the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) works in collaboration with third party payment processing partners to offer the learner (or student) with the most convenient and secure payment mechanisms. Check out our Privacy Policy for more details.

While making the payment towards the fees of a particular course, a learner (or student) agrees to not to use invalid details nor use any unauthorized payment method. If a learner (or students’) payment method fails and the learner (or student) still gets access to the course then the learner (or student) is bound to pay the fees within three (03) days of notification from the Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.); failing which the Team reserves the rights to disable the users access to the said course and may even deactivate the account. The Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.) even reserves the right to immediately disable access to any course for which the learner (or student) has not made adequate payment of fees due.

4. REFUND

All courses listed on the Bongobanijya site shall have a strict no-refund policy attached with them. Every course shall have a detailed description of the content and study material, a learner (or student) is expected to read the same before making any purchases. The courses are also attached with a strict No Cancellation policy. In any event the fees paid by the learner (or student) shall not be refunded.

5. CREDIT

If in any case a learner (or student) receives any credit from the Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.), in their account, the said credits are to be used within a period as may be mentioned in the accompanying email from the team. The credits would expire if not used within the specific period and it shall not be re-credited to a learner (or students’) account under any circumstances whatsoever. Please also note that a credit amount shall have no cash value and cannot be substituted for cash. If the team believes that a learner (or student) is abusing the credit / refund policy, the learner (or students’) account shall be forthwith terminated.

6. ASSIGNMENTS

Certain courses may have assignments needed to be submitted for evaluation. A learner (or student) is requested to not to submit any plagiarized document or any content of obscene/derogatory nature. Any such assignments received by the team shall deem that learner (or student) to be liable to penal actions and even termination of their account without any refunds whatsoever. An original work of assignment or homework would make a learner (or student) eligible to complete the said course.

A learner (or student) is also requested to not to post or submit copied assignments of other learner (or students). This would put both the learners (or students’) at risk of non-completion of the courses.

The assignment rules shall be mentioned with each attached module or course. Please note that each assignment submitted for completion of the course shall be the sole property of Ellipsis Knowledge and Learning Pvt. Ltd. and shall grant the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) to a worldwide, non-exclusive, royalty-free license (with the rights even to sublicense) to copy, display, distribute, modify, process, publish, reproduce, transmit, use your assignment in any and all media or distribution methods (existing now or later developed). It even includes making your assignment available to other companies, organizations, or individuals who partner with Bongobanijya for the syndication, broadcast, distribution, or publication of content on other media.

A learner (or student) represents and warrants that they have all rights, power, and authority necessary to authorize the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) to use any content that a learner (or student) submits towards their assignment. A learner (or student) also agrees to all such uses of the assignment content with no compensation paid to the learner (or student).

A learner (or student) is requested to kindly do a virus check before uploading any assignments to the Bongobanijya site.

7. USAGE RULES

As a registered learner (or student), the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) reserves the rights to ask for your feedbacks, suggestions and provide you with review questions for the courses you may be enrolled in to improve the course offerings in the future. If the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) is notified that a learner (or student) is an offender of law, the team would without any further notice deactivate the learner (or students’) account and even prevent them from creating any future enrolments to any of the courses, they may not even be liable for any credits in whatsoever manner and a no refund policy applies to all learner (or student) as mentioned previously.

8. USING THE BONGOBANIJYA SITE AT YOUR OWN RISK

Bongobanijya enables anyone anywhere to view and study the educational courses listed on the Bongobanijya site. The courses are created by the faculty in consultation with industry experts and others, we ensure that the courses are error-free; but however, as you may appreciate that efforts and hardwork may tend to some amounts of errors or ambiguities cropping up, the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) shall ensure rectifying the same at the earliest as and when notified by a learner (or student) or if our team understands of the same. We may exercise editorial changes at times to the courses as per the changing requirements of the portion or pedagogy as may be designed by the Board Authorities for the Examination or other requirements.

However, the learner (or student) expressly warrants that they do not have any claims whatsoever in any manner for the errors that may crop-up in the courses they purchase. A learner (or student) might even feel that the content in a course is indecent, offensive or objectionable; the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) takes utmost care to make the content as unambiguous as possible if however an issue crops up the Bongobanijya Team has no liability for the same. A learner (or student) ensures to take full responsibility when enrolling to any course of their
choice.

While interacting with the faculty, the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) or any other learner (or student) in the Bongobanijya site, the learner (or student) must be careful of the type and nature of the information being shared and also the content being posted by them. The Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) does not control and is also not liable to what learner (or students) and faculties or others do with the information shared on the discussion forums of the Bongobanijya site. A learner (or student) is requested not to share any personal information (such as email, passwords, contact details, etc.) to protect their privacy. The Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) is not liable for any disputes, claims, losses, injuries, or damages of any kind that might arise out of or relate to the conduct between a faculty or learner (or students).

While using the Bongobanijya site, a learner (or student) may find links to other third party websites, that the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) does not own nor control. We mention here that the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) is not responsible for the content or any other aspects of these third party websites and including these third party sites collecting information about a learner (or student).

9. BONGOBANIJYA’S RIGHTS

All rights, titles, and interests in and to the Bongobanijya site, our databases, content, course materials, study materials, etc. shall remain the exclusive property of Ellipsis Knowledge and Learning Pvt. Ltd. (the Bongobanijya Team). Please note that the Bongobanijya site is protected by copyright, trademark, and other laws. Nothing gives a learner (or student) or any other unauthorised user the rights to use the Bongobanijya name, logo, domain names, trademarks, intellectual property, and any other identifiable brand features.

The feedbacks, suggestions, comments provided by a learner (or student) or any other user regarding the Bongobanijya site is entirely voluntary and the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.) shall be free to use such comments, suggestions and feedbacks as may be fit without any obligation to anyone.

10. STRICT PROHIBITIONS

A learner (or student) may not do any of the following while accessing or using the Bongobanijya site:

A learner (or student/ students) SHALL NOT post or upload or submit content (or assignments) that in any way:

• Infringes on others intellectual property, including but not limited to copyrights or trademarks
• contains intentionally inaccurate information, profane, pornographic, obscene, indecent or unlawful content
• defames, harasses or threatens others
• is of a political nature
• Viruses, trojans, worms, corrupted files, malware, spyware, or any other similar software

A learner (or student) (or student) SHALL NOT in any way:

• Shall not gain access, disable, interfere, tamper with, circumvent, nor use non-public areas of the Bongobanijya site, Bongobanijya’s systems, nor the technical delivery systems of the Bongobanijya site nor disable, interfere, nor try to circumvent any of the features of the Bongobanijya site related to security nor probe, nor scan, nor test the vulnerability of any of our systems
• Shall not copy, modify, reverse engineer, reverse assemble, or otherwise attempt to discover any source code of or content on the Bongobanijya site
• Shall not gain access or search or attempt to search the Bongobanijya site by any means (automated or otherwise) other than through our currently available search functionalities that are provided via our website, mobile apps, or API (and only pursuant to those API terms and conditions).
• Shall not scrape, spider, use a robot, or use other automated means of any kind to access the Bongobanijya site.
• Shall not in any way use the Bongobanijya site to send altered, deceptive, or false sourceidentifying information (such as sending email communications falsely appearing as Bongobanijya); nor interfere with, nor disrupt, (nor attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the platforms or services, or in any other manner interfering with or creating an undue burden on the Bongobanijya site.

11. MISCELLANEOUS TERMS

• A learner (or student/students) agrees that, by registering, accessing or using the Bongobanijya site, they are agreeing to enter into a legally binding contract with Ellipsis Knowledge and Learning Pvt. Ltd. (the Bongobanijya Team). If a learner (or student /students) does not agree to these Terms, they should not – register, access, or otherwise use any part of the Bongobanijya site.
• Availability of any version of these terms and conditions in a language other than English may be provided only for convenience and a learner (or student) agrees that the English language will supersede any other language and would control if there is any conflict.
• These terms and conditions (including any agreements and policies linked to these terms and conditions) constitute the entire agreement between a learner (or student) and the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.).
• If any part of these terms and conditions is found to be invalid or unenforceable by applicable law, then that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these terms and conditions will continue in effect.
• The Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.) may decide to cease making available certain features of the Bongobanijya site at any time and for any reason. Under no circumstances will the Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.) or its affiliates, suppliers, partners or agents be held liable for any damages due to such interruptions or lack of availability of such features.
• The Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.) is not responsible for delay or failure of our performance of the Bongobanijya site caused by events beyond our reasonable control, like an act of war, earthquake, flood, hostility, or sabotage, natural disaster, electrical, internet, or telecommunication outage; or government restrictions or any other valid reasons.
• The Learner (or student) and the Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.) agrees that no joint venture, no partnership, no employment, no contractor, nor agency relationship exists between a learner (or student) and the Bongobanijya Team (Ellipsis Knowledge and Learning Pvt. Ltd.).
• If the Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.) bans a learner (or students’) account or disables your access to a course due to the learner (or student) violating the terms and conditions, or the team may restrict the learner (or student) from creating any user accounts in the future and will also not be eligible to receive any credit or refund.

12. LEGAL ACTIONS AND NOTICES

A learner (or student) agrees that no action (regardless of form), arising out of or relating to this agreement (including the terms and conditions, and other terms mentioned) may be brought by either the learner (or student) or the Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.), more than three (03) months after the cause of action has accrued.

Any notice or other communication to be given hereunder will be in writing and given by registered or certified mail return receipt requested, or email, by the Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.), to the email associated with the learner (or students’) account or by the learner (or student) to studentcare@bongobanijya.com

13. INDEMNIFICATION

The learner (or student) hereby indemnifies and agrees to keep indemnified and hold harmless the Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.), from and against all claims and all direct losses, liabilities, obligations, damages, expenses and costs (including without limitation reasonable legal fees) brought against or suffered by the learner (or student) or any of its respective officers, directors, employees or agents, resulting from, arising out of or relating to:-
• Use of the Bongobanijya site
• The content or assignment posted or uploaded or submitted
• Any wilful misconduct by the learner (or student) or its agents
• An infringement of proprietary information of third party
• Violation of any terms and conditions

14. APPLICABLE LAW AND PLACE OF JURISDICTION

These terms and conditions shall be construed and the legal relations between the parties hereto shall be determined, in accordance with the laws of India and any dispute arising out of this agreement is subject to exclusive jurisdiction of the Courts of Mumbai, India. The language of the proceedings shall be English and/or in Hindi.

15. DISCLAIMER

At any point in time, if it may happen that the Bongobanijya site is down (either for planned maintenance or because something goes wrong with the site), or it may happen that a faculty is making ambiguous statements in the course, or security issues might crop up with the Bongobanijya site, etc; a learner (or student) accepts that they will not have any recourse against the Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.) in any such type of cases where things don’t fall in place.

In legal, more complete language, the Bongobanijya site and its content are provided on an “as is” basis. Ellipsis Knowledge and Learning Pvt. Ltd. (the Bongobanijya Team) makes no representations or warranties about the availability, accuracy, reliability, security, suitability, of the Bongobanijya site or its content, and expressly disclaim any warranties or conditions (express or implied), including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Ellipsis Knowledge and Learning Pvt. Ltd. (the Bongobanijya Team) makes no warranty that a learner (or student) will obtain specific results from use of this site. A learner (or student) / user(s) use of the Bongobanijya site (including any content) is entirely at their own risk.

16. UPDATING OF THE TERMS AND CONDITIONS

The Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.) may update these terms and conditions in order to clarify the practices and relation between us and the learner (or student). The Bongobanijya team (Ellipsis Knowledge and Learning Pvt. Ltd.) reserves the right to make changes and/or modify these terms and conditions without prior notice.

Any revised terms shall supersede the previous terms. The terms and conditions shall be effective the day they are posted with an updated effective date and shall be applicable to all learner (or students) enrolled previously or new enrolments.
